Critical to almost every business arrangement is the underlying contract that the parties negotiate and enter into, as it will shape the manner in which their ongoing commercial relationship will be conducted and issues resolved. As such, it is imperative that the appropriate contract be drafted, such that the true intentions of the parties are addressed and appropriate contractual measures are put in place to resolve problems and settle disputes.

In the corporate context, there are a multitude of business arrangements that require appropriate contractual arrangements to be negotiated and entered into.

  Corporate Agreement
Contracts should be made specific to the particular circumstances of the business arrangement, as opposed to simply attempting to rely on a generic template that is not designed to advance your company's financial interests, hence the significance of a contract lawyer drafting your corporate agreements.
Clauses often seen in such contracts might include some variant of:
"It is the intent of the Parties to provide a *** service for the defined marketplace through developing and marketing an *** service for third party remote support of personal computers and servers. A description and scope of the joint solution (the "Solution"), the connectivity service to be provided by the Service Provider in connection with the Solution and a Statement of Work describing the project, the Solution, a`nd the roles and responsibilities of the Parties in connection with the project are included on Schedule 1A. It is intended by the Parties that the combination of the Components (as defined below) as described in the Statement of Work on Schedule 1A will produce the Solution. Pursuant to Section x, no amendment or modification of any schedules or exhibits attached hereto, including Schedule 1A, may be made except by a writing signed by both Parties."
